Terms of Service

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("Customer," "you," or "your") and DOKit, LLC ("DOKit," "we," "our," or "us") governing your access to and use of the DOKit document processing platform, website, and related services (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. By accessing or using the Service, clicking "I Accept," or by otherwise manifesting your assent to these Terms, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

1. Definitions

"Authorized Users" means individuals who are authorized by Customer to use the Service under Customer's account, including employees, contractors, and agents.

"Customer Data" means all data, documents, files, text, images, and other content that Customer or Authorized Users upload, submit, or otherwise provide to the Service for processing.

"Documentation" means the user guides, help documentation, and other technical materials provided by DOKit regarding the use of the Service.

"Output" means the extracted data, structured information, analysis results, summaries, and other processed content generated by the Service from Customer Data.

"Subscription Term" means the period during which Customer has paid for access to the Service, as specified in the applicable Order.

"Order" means any order form, online subscription, or other ordering document specifying the Service plan, fees, and other terms.

2. Account Registration and Security

2.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to update your information as necessary to maintain its accuracy. You may not use another person's account without permission or create accounts using false or misleading information.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: (a) use strong, unique passwords; (b) enable multi-factor authentication when available; (c) not share your credentials with others; (d) notify us immediately of any unauthorized access or security breach. We are not liable for any loss arising from unauthorized use of your account.

2.3 Authorized Users

You may authorize individuals within your organization to use the Service as Authorized Users, subject to your plan limits. You are responsible for ensuring that Authorized Users comply with these Terms and for all actions taken by Authorized Users under your account.

3. Grant of Rights

3.1 License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, DOKit grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during the Subscription Term solely for your internal business purposes in accordance with the Documentation.

3.2 Restrictions

You may not, and may not permit others to:

  • Copy, modify, or create derivative works of the Service or any component thereof
  • Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code or algorithms of the Service
  • Rent, lease, loan, sell, sublicense, or otherwise transfer the Service to any third party
  • Remove, alter, or obscure any proprietary notices on the Service
  • Use the Service to develop a competing product or service
  • Use the Service in any manner that violates applicable law or these Terms
  • Access the Service through automated means (bots, scrapers) except through our published APIs
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to process content that is illegal, harmful, fraudulent, or infringes third-party rights

4. Customer Data

4.1 Ownership

You retain all right, title, and interest in and to your Customer Data. DOKit does not claim any ownership rights in Customer Data.

4.2 License to Customer Data

By uploading Customer Data to the Service, you grant DOKit a limited, non-exclusive, royalty-free license to use, process, copy, store, transmit, and display Customer Data solely to: (a) provide the Service to you; (b) improve and maintain the Service; (c) comply with applicable law. This license terminates when you delete Customer Data or your account is terminated.

4.3 Customer Responsibilities

You are solely responsible for: (a) the accuracy, quality, and legality of Customer Data; (b) the means by which you acquired Customer Data; (c) ensuring you have all necessary rights and consents to upload and process Customer Data; (d) compliance with all laws applicable to Customer Data, including data protection laws.

4.4 Prohibited Content

You may not upload Customer Data that: (a) violates any law or regulation; (b) infringes intellectual property or other rights of any third party; (c) contains malware, viruses, or harmful code; (d) is fraudulent, false, or misleading; (e) is defamatory, obscene, or otherwise objectionable.

4.5 Output

Output generated from your Customer Data belongs to you. DOKit does not claim ownership of Output. You acknowledge that Output is generated using artificial intelligence and may contain errors or inaccuracies. You are responsible for reviewing and verifying Output before relying on it.

4.6 No Training on Customer Data

DOKit does not use Customer Data to train artificial intelligence models. Customer Data is processed solely to provide the Service and is not used to improve models for other customers.

5. Fees and Payment

5.1 Fees

You agree to pay all fees specified in your Order. Fees are based on the plan you select and any usage beyond plan limits. All fees are quoted in U.S. dollars unless otherwise specified.

5.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase. Usage-based fees (overages) are billed in arrears at the end of each billing period. You authorize us to charge your payment method for all fees due.

5.3 Taxes

All fees are exclusive of taxes. You are responsible for paying all applicable taxes, including sales, use, VAT, and similar taxes, excluding taxes based on DOKit's income.

5.4 Price Changes

We may change our prices at any time. Price changes will take effect at the start of your next Subscription Term. We will provide at least 30 days' notice of price changes. Your continued use of the Service after a price change constitutes acceptance of the new prices.

5.5 No Refunds

All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. In particular, no refunds will be provided for: (a) partial months of service; (b) downgrading to a lower-priced plan; (c) unused features or capacity.

5.6 Late Payments

If we do not receive payment when due, we may: (a) charge interest at 1.5% per month (or the maximum rate permitted by law); (b) suspend your access to the Service until payment is received; (c) terminate your account after 30 days of non-payment. You are responsible for all costs of collection, including reasonable attorneys' fees.

6. Term and Termination

6.1 Term

These Terms commence on the date you first accept them and continue until terminated. Your Subscription Term continues until the end of the period for which you have paid, unless terminated earlier.

6.2 Termination by Customer

You may terminate your subscription at any time by providing written notice to us. Termination will take effect at the end of your current billing period. You will not receive a refund for any remaining period.

6.3 Termination by DOKit

We may terminate or suspend your access to the Service: (a) immediately if you breach these Terms; (b) immediately if required by law; (c) with 30 days' notice for any other reason. If we terminate for convenience (not for cause), we will provide a pro-rata refund of prepaid fees.

6.4 Effect of Termination

Upon termination: (a) your access to the Service will cease; (b) you must pay all fees due through the termination date; (c) we will delete your Customer Data within 30 days unless you request an export or legal retention is required; (d) all licenses granted hereunder will terminate; (e) the following sections survive termination: 4.1, 7, 8, 9, 10, 11, 12, 13, 14.

6.5 Data Export

Before termination, you may export your Customer Data using the export features in the Service. We recommend exporting your data before your subscription ends.

7. Intellectual Property

7.1 DOKit IP

The Service, including all software, algorithms, interfaces, designs, documentation, and other materials (excluding Customer Data), is the exclusive property of DOKit and its licensors. All rights not expressly granted in these Terms are reserved.

7.2 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant DOKit a perpetual, irrevocable, royalty-free, worldwide license to use Feedback for any purpose without compensation or attribution to you.

7.3 Trademarks

"DOKit" and our logos are trademarks of DOKit, LLC. You may not use our trademarks without our prior written consent, except as necessary to refer to our Service in a factual, non-misleading manner.

8. Confidentiality

8.1 Confidential Information

"Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Your Customer Data is your Confidential Information. The Service and its features, pricing, and technical information are DOKit's Confidential Information.

8.2 Protection

Each party agrees to: (a) protect the other's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) not disclose Confidential Information to third parties except as permitted under these Terms; (c) use Confidential Information only as necessary to exercise rights or perform obligations under these Terms.

8.3 Exceptions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available without breach; (b) was known to the receiving party before disclosure; (c) is independently developed without use of Confidential Information; (d) is disclosed by the disclosing party to a third party without restriction.

9. Warranties and Disclaimers

9.1 DOKit Warranties

DOKit warrants that: (a) the Service will perform materially in accordance with the Documentation; (b) we will provide the Service using commercially reasonable care and skill; (c) we have the right to provide the Service.

9.2 Customer Warranties

You warrant that: (a) you have the authority to enter into these Terms; (b) you have all necessary rights in Customer Data to grant the licenses in Section 4; (c) Customer Data does not violate any law or third-party rights; (d) your use of the Service will comply with all applicable laws.

9.3 DISCLAIMER

EXCEPT AS EXPRESSLY SET FORTH IN SECTION 9.1, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. DOKIT DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DOKIT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED. DOKIT DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY OUTPUT GENERATED BY THE SERVICE. YOU USE OUTPUT AT YOUR OWN RISK AND ARE RESPONSIBLE FOR VERIFYING OUTPUT BEFORE RELYING ON IT.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOKIT'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE FEES PAID BY CUSTOMER TO DOKIT IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).

10.3 Exceptions

The limitations in Sections 10.1 and 10.2 do not apply to: (a) either party's indemnification obligations; (b) either party's breach of confidentiality obligations; (c) Customer's payment obligations; (d) either party's gross negligence or willful misconduct; (e) liability that cannot be limited by law.

11. Indemnification

11.1 Customer Indemnification

You will indemnify, defend, and hold harmless DOKit and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Customer Data; (c) your violation of these Terms; (d) your violation of any third-party rights.

11.2 DOKit Indemnification

DOKit will indemnify, defend, and hold harmless Customer from and against any claims that the Service infringes a third party's intellectual property rights, provided that Customer: (a) promptly notifies DOKit of the claim; (b) gives DOKit sole control of the defense and settlement; (c) provides reasonable cooperation at DOKit's expense.

11.3 Remedies for Infringement Claims

If the Service is held or believed to infringe, DOKit may at its option: (a) obtain the right for Customer to continue using the Service; (b) modify the Service to make it non-infringing; (c) replace the Service with a non-infringing equivalent; or (d) terminate the affected Service and refund prepaid fees for the unused portion.

12. HIPAA Compliance

12.1 Business Associate Agreement

If you are a HIPAA-covered entity or business associate and will use the Service to process protected health information (PHI), you must enter into a Business Associate Agreement (BAA) with DOKit before uploading any PHI. Contact [email protected] to request a BAA.

12.2 Customer Obligations

You are responsible for: (a) determining whether you are subject to HIPAA; (b) ensuring you have appropriate authorizations and consents to process PHI; (c) configuring the Service appropriately for PHI; (d) compliance with all HIPAA requirements applicable to you.

12.3 DOKit Obligations

When a BAA is in effect, DOKit will: (a) implement appropriate safeguards for PHI; (b) report security incidents as required by HIPAA; (c) ensure subcontractors who access PHI agree to comparable obligations; (d) comply with all BAA obligations.

13. Service Level

13.1 Availability

DOKit targets 99.9% uptime for the Service, excluding scheduled maintenance. Scheduled maintenance will be performed during off-peak hours when possible, and we will provide advance notice.

13.2 No Guarantee

While we strive for high availability, we do not guarantee uninterrupted or error-free service. We are not liable for any downtime, delays, or service interruptions.

13.3 Support

Support is provided according to your plan level. Standard support is provided via email during business hours. Enterprise plans may include enhanced support options as specified in your Order.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict of law principles. Any legal action arising out of these Terms must be brought in the state or federal courts located in Ohio, and you consent to the jurisdiction of such courts.

14.2 Dispute Resolution

Before initiating any legal proceeding, the parties agree to attempt to resolve disputes through good faith negotiation for at least 30 days. Either party may request mediation, and both parties agree to participate in good faith.

14.3 Assignment

You may not assign these Terms without DOKit's prior written consent. DOKit may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets. Subject to the foregoing, these Terms bind and inure to the benefit of the parties and their successors and assigns.

14.4 Notices

Notices to DOKit must be sent to [email protected] or to our mailing address. Notices to you will be sent to the email address associated with your account. Notices are effective upon receipt.

14.5 Force Majeure

Neither party is liable for failures or delays resulting from circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, government action, Internet disruptions, or third-party service outages.

14.6 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision. Any waiver must be in writing and signed by the waiving party.

14.7 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.8 Entire Agreement

These Terms, together with any Orders and the Privacy Policy, constitute the entire agreement between you and DOKit regarding the Service and supersede all prior agreements, understandings, and communications.

14.9 Amendments

We may modify these Terms at any time by posting revised Terms on our website. Material changes will be notified to you at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

14.10 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

14.11 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

14.12 Export Compliance

The Service may be subject to U.S. export control laws. You agree to comply with all applicable export laws and not to export or re-export the Service to any prohibited country or person.
